This Acceptable Use Policy ("Policy") describes what you may and may not do with ClearPoint Nexus products, services, platform access, skills, agents, and AI-generated outputs. It applies to all customers, visitors, account holders, Licensed Users, and users of Nexus products. ClearPoint Nexus is a registered assumed name/trade name of ClearPointLogic LLC, a Tennessee limited liability company. In this Policy, "ClearPoint Nexus," "Nexus," "CPN," "we," "us," and "our" refer to ClearPointLogic LLC doing business as ClearPoint Nexus. By purchasing, accessing, downloading, installing, subscribing to, or using any Nexus product or service, you agree to this Policy.

What You May Do You may use Nexus products and AI-assisted outputs to: - support your own internal business operations and workflows; - research, analyze, draft, summarize, and organize information; - produce work product and deliverables for your own clients; - improve productivity in professional, technical, operational, finance, marketing, legal-operations, engineering, and administrative workflows; and - operate self-hosted or hosted agent products within the license scope you purchased. All permitted use remains subject to the Customer Product & Service Terms, product documentation, applicable order terms, applicable third-party platform terms, and applicable law.

What You May Not Do You may not use Nexus products, services, platform access, skills, agents, or outputs, directly or indirectly, for any of the following purposes.

2.1

License and Distribution Violations You may not: - resell, redistribute, sublicense, publish, transfer, or make available any Nexus skill, agent, workflow package, prompt package, product file, or underlying product content as a standalone product; - white-label, rebrand, or present any Nexus product as your own proprietary product; - grant access to Nexus products to clients, partners, affiliates, contractors, or third parties except as expressly allowed by your license; - host Nexus products as a service for third parties without written permission; - circumvent, disable, or interfere with any license control, watermark, access restriction, authentication mechanism, checkout flow, subscription control, or usage limit; or - abuse promotions, trial access, subscriptions, refunds, chargebacks, or checkout systems.

2.2

Reverse Engineering and Competitive Use You may not: - reverse engineer, decompile, disassemble, or attempt to extract the underlying prompts, logic, model configurations, system instructions, workflows, frameworks, source code, or technical architecture of any Nexus product; - use Nexus products, product files, outputs, prompts, documentation, or platform data to build, train, fine-tune, benchmark, evaluate, or improve a competing AI product, agent product, skill catalog, prompt library, workflow marketplace, or model; or - remove or alter proprietary notices, attribution, license controls, metadata, or security features.

2.3

High-Risk AI Output Uses You may not use AI-generated outputs from or enabled by Nexus products as a substitute for: - professional medical diagnosis, treatment, or healthcare advice; - legal advice provided by a licensed attorney; - regulated financial, investment, insurance, tax, or accounting advice; - safety-critical engineering, infrastructure, aviation, transportation, energy, healthcare, or emergency-response decisions; or - legally required human review in employment, credit, lending, housing, insurance, education, public benefits, immigration, criminal justice, or other consequential decisions about individuals. Where outputs are used in business, professional, regulated, or consequential contexts, you must apply appropriate human review, independent verification, professional judgment, and legal compliance measures.

2.4

Security Abuse You may not use Nexus products to: - create, distribute, or facilitate malware, ransomware, spyware, credential theft, phishing, social engineering, exploit code, unauthorized access, or evasion of security controls; - probe, scan, attack, disrupt, overload, or compromise any system without authorization; - exfiltrate, expose, or misuse secrets, tokens, credentials, private keys, personal data, confidential information, or proprietary information; or - bypass rate limits, access controls, metering, monitoring, licensing, or security mechanisms.

2.5

Privacy, Surveillance, and Data Misuse You may not use Nexus products to: - conduct unauthorized surveillance, tracking, monitoring, profiling, scraping, or identification of individuals; - process personal data in violation of privacy, data-protection, consumer-protection, employment, or antidiscrimination law; - generate or infer sensitive personal attributes without a lawful and appropriate basis; - collect, process, or disclose personal data without required consent, notice, authorization, or legal basis; or - violate confidentiality, professional, contractual, or fiduciary duties.

2.6

Fraud, Deception, and Harmful Content You may not use Nexus products to: - generate, distribute, or amplify disinformation, impersonation, synthetic media, or misleading content intended to deceive at scale; - impersonate a person, organization, public official, or business without authorization; - facilitate fraud, scams, market manipulation, identity theft, payment abuse, or deceptive commercial practices; - harass, threaten, defame, exploit, or target individuals or groups; or - create content or systems intended to cause physical, financial, legal, reputational, or operational harm.

2.7

Illegal Use and Export Controls You may not use Nexus products for any purpose prohibited by applicable local, state, federal, or international law or regulation, including export-control, sanctions, anti-corruption, anti-money-laundering, data-protection, privacy, consumer-protection, intellectual-property, and anti-discrimination laws. You may not purchase, access, or use Nexus products if you are located in, ordinarily resident in, or acting on behalf of a person or entity located in a jurisdiction subject to applicable US sanctions or export controls, or if you are listed on a restricted-party list.

Customer Responsibility You are responsible for: - all activity under your account and licenses; - your users' compliance with this Policy; - your own deployment environment, API keys, model-provider accounts, credentials, data, and security controls; - reviewing and validating outputs before use; and - ensuring your use complies with applicable laws, professional obligations, and third-party platform terms.

Consequences of Violations Violations of this Policy may result in: - suspension or termination of account access; - suspension or termination of license rights, including subscription and perpetual-license rights where permitted by the Customer Product & Service Terms; - removal of access to hosted services or downloads; - refusal of future purchases; - no refund of fees paid, except where required by law; and - legal action, including claims for injunctive relief, damages, and recovery of costs. Nexus reserves all rights and remedies for violations that harm Nexus, ClearPointLogic LLC, customers, third parties, product integrity, intellectual property, security, or legal compliance.

Updates Nexus may update this Policy from time to time. Material changes will be communicated through email, website notice, account notice, or other reasonable means where required. Continued use of Nexus products after the effective date of an updated Policy constitutes acceptance of the updated Policy.
